32/2024 – Information on the Conclusion of a Significant Contract by Trakcja S.A.

The Management Board of Trakcja S.A. (the “Company”, the “Issuer”) informs that today the Company, as the “Contractor,” has entered into a contract with the Podlaskie Voivodeship (the “Ordering Party”) for the execution of construction works related to the “Construction of the Kolno Bypass along Provincial Road No. 647.”

The conclusion of this Contract follows the selection of the Company’s offer as the most favorable in the open tender.

The total value of the Contract has been set at PLN 62,614,262.47 net (PLN 77,015,542.84 gross) (fixed-price remuneration). The Ordering Party reserves the right to reduce the scope of work included in the Contract by up to 10% of the gross contract value within 14 months from the date of the Contract’s conclusion, excluding winter periods (from December 15 to March 15).

The Contract is to be completed within 16 months from the date of the Contract’s conclusion, excluding winter periods (from December 15 to March 15).

The Ordering Party has provided for remuneration adjustment due to changes in material prices or costs for each accounting period (the Contract provides for a quarterly accounting period), starting from the 7th month from the date of signing the Contract, if changes in material prices and costs exceed the level specified in the Contract. The maximum adjustment threshold has been set at 3% of the gross remuneration specified in the Contract. Remuneration adjustments are made upon request of the Parties.

The remaining terms of the Contract are consistent with the conditions commonly applied for this type of contracts.

The Issuer’s Management Board has decided to publish this information as the execution of the aforementioned investment project constitutes a significant portion of the Company’s order portfolio and affects the maintenance of current and future revenues and results of the Company.
