16/2021 – Information about the appointment of members of the Management Board for a new term of office

The Management Board of the Trakcja S.A. Company (the “Company” or the ”Issuer”) informs that on 31 May 2021 the Supervisory Board of the Company pursuant to Art. 16 sec. 2 point 1) in conjunction with Art. 18 sec. 2 point 1) of the Articles of Association adopted resolutions, under which it appointed current four members of the Management Board of the Company i.e. Marcin Lewandowski, Paweł Nogalski, Aldas Rusevičius i Arkadiusz Arciszewski for a new, joint term of office, which will start on the day of holding of the Ordinary General Meeting of the Company.

Information about members of the Management Board appointed by the Supervisory Board:

1. Mr. Marcin Lewandowski President – Chief Executive Officer

Mr. Marcin Lewandowski is a graduate of the Gdansk University of Technology in the Faculty of Civil Engineering, specialization: Civil Engineering in Bridges.

Professional experience:

1994 – 2018 – Płockie Przedsiębiorstwo Robót Mostowych S.A. / Bilfinger Berger S.A. / PORR S.A. (these are one employer whose name change resulted from ownership changes),

1994 – 1997 Construction Engineer – PPRM S.A.,

1997 – 2000 Site Manager / Site Complex Manager – PPRM S.A.,

2000 – 2007 Director of the Branch in Włocławek – PPRM S.A.,

2007 – 2009 Director of the Bridge Division – Bilfinger Berger S.A.,

2009 – 2018 Member of the Management Board and Operations Director – Bilfinger Berger S.A. / PORR S.A.,

2018 – currently President – Chief Executive Officer of the Trakcja S.A.

During his professional career Mr. Marcin Lewandowski was responsible for many key infrastructure investments in Poland and in Norway, including, above all, among others:

• Construction of the Railway Tunnel to the Okęcie Airport,
• Construction of the cable-stayed Solidarność Bridge in Płock,
• Construction of the Southern Bypass of Warsaw,
• Construction of the Southern Bypass of Gdańsk,
• Construction of the T.Mazowiecki cable-stayed bridge in Rzeszów,
• Construction of many sections of expressways including: S6, S7, S8 and S17,
• Construction of the TresfjordBrua and FarrisBrua bridges in Norway,
• Renovation of the Łazienkowski Bridge in Warsaw.

During his term as President of the Trakcja S.A. Mr. Marcin Lewandowski oversaw and implemented the process of organizational restructuring of the Trakcja S.A. and was responsible for the first round of the financing of the Company in 2019.

Mr. Marcin Lewandowski is member of the Supervisory Boards of the following subsidiaries of the Trakcja S.A.:

2. Mr. Paweł Nogalski Executive Vice President – Chief Financial Officer 

Mr. Paweł Nogalski is a graduate of the Faculty of Economic Sciences at the University of Warsaw.

Previously held positions and professional career:

• 1999-2000: Warszawska Centrala Materiałów Budowlanych – Management Accounting Specialist,
• 2001-2003: Aarsleff sp. z o.o.– Financial Analyst,
• 2003-2004: Shell Polska sp. z o.o. – Business Analyst,
• 2004 – 9.06.2015: Trakcja PRKiI S.A. – Financial Analyst, Controlling Specialist, Deputy Operating Controlling Director, Operating Controlling Director, Controlling Director of the Trakcja Group, Deputy Chief Financial Officer (06.2013 – 11.2013 performing the obligations of the Chief Financial Officer),
• since 9.06.2015 – currently – Executive Vice President – Chief Financial Officer of the Trakcja S.A.

In recent years Mr. Paweł Nogalski was responsible for a number of processes in the area of finance, of which the most important is the first round of the financing of the Company in 2019, under which the Company acquired new equity, debt and guarantee financing including also from new financers, i.e. Agencja Rozwoju Przemysłu S.A. and Bank Gospodarstwa Krajowego.

Mr. Paweł Nogalski is member of the Supervisory Boards of the following subsidiaries of the Trakcja S.A.:

• PEUiM Sp. z o.o.

3. Mr. Aldas Rusevičius Executive Vice President – Baltic Markets Director

Mr. Aldas Rusevičius graduated from the Faculty of Road Maintenance and Construction at the Kaunas Polytechnic School (1986). In 1995 he obtained a Bachelor’s degree in road engineering at the Vilnius Gediminas Technical University, and in 2001 a Master of Engineering degree in civil engineering at the Vilnius Gediminas Technical University. 

Mr. Aldas Rusevičius is related to the Trakcja Group through the Issuer’s subsidiary – AB Kauno Tiltai, where he has worked since 1999.

• 1999 – 2015 – Deputy Technical Director, Technical Director, Deputy CEO in AB Kauno Tiltai,

• 2009 – 2011 – Member of the Management Board, Director of the Department of Building in the AB Tiltai Group,
• 2015 – currently – CEO in AB Kauno Tiltai,
• 11. 2016 – currently – President of the Management Board of the Kauno Tiltai Sverige AB subsidiary in Sweden,
• 2017 – currently – President of the Management Board of AB Kauno Tiltai,
• 11.2017 – currently – Executive Vice President – Baltic Markets Director of the Trakcja S.A.

Mr. Aldas Rusevičius is also a member of:

• the Council of the “Lithuanian Roads” Association,
• the Board of the Association of Rail Services Providers “Gelpa”,
• he is also President of the Council at the Vilnius Gediminas Technical University.

During his professional career Mr. Arkadiusz Arciszewski was responsible for a number of key infrastructure investments in Poland, including, above all, among others:

• Central Main Railway Line – Line 4 (on behalf of the Investor);
• Modernization of the E65 Railway Line (on behalf of the Investor);
• Construction of an express road on the S7 Kraków-Rabka Zdrój section on the Lubień-Naprawa section;
• Expansion of national road No. 8 Warszawa-Białystok to the parameters of the express road on the  Wyszków section – border of the Podlaskie Voivodeship, section Ib – “Poręba” junction (without the junction) – the bypass of Ostrów Mazowiecka from km 529+470.00 to km 545+582.04 with a length of about 16.11 km;
• Design and construction of the S-5 express road section 6 from the „Szubin” junction (with the junction) to the „Jaroszewo” junction (with the junction) with a length of about  19.3 km;
• Construction of the North Bridge Route in Warsaw;
• Construction of the S-8 express road section of the Wyszków bypass;
• Construction of the Siekierkowska Route Task IIB, section from the Bora-Komorowskiego junction to Płowiecka Street.

Mr. Arkadiusz Arciszewski is member of the Supervisory Boards of the following subsidiaries of the Trakcja S.A.:

• Bahn Technik Wrocław sp. z o.o.,
• Torprojekt sp. z o.o.,
• PEUiM Sp. z o.o.

Each of the newly appointed Members of the Management Board made a statement that they:

• do not conduct any other activity outside the Issuer’s enterprise that would be competitive to the Issuer,
• are not a partner in any other competitive civil, partnership or capital company,
• do not participate in a competitive legal entity as a member of its body,
• are not listed in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
