Strong Interest in Shares of the New Issue

As part of the actions aimed at increasing the share capital, the book-building process  for ordinary bearer shares of series B and ordinary registered shares of series C was completed on 7 October. The total number of securities offered under the initial allocation is 35,051,428 (in words: thirty-five million fifty-one thousand four hundred and twenty-eight) shares.

“The book-building process was closed in accordance with the planned schedule.  Interest in the shares of the new issue was very strong and almost all the securities provided for in it found buyers. The initial allocation indicates that we may raise almost PLN 60 million from the issue of new shares, i.e. more than 50% more than we had assumed at the end of September – said Marcin Lewandowski, President of Trakcja PRKiI. This fact pleases us especially in a situation of significant fluctuations on the capital market and an unclear situation in the construction industry. In this way, investors positively assessed the situation of our Company and the market outlook – adds Marcin Lewandowski.

Trakcja PRKiI has been efficiently carrying out a financial restructuring process for several months. In June, the Company obtained bridge financing, consisting of: a working capital facility of PLN 31 million, guarantee lines totalling PLN 33 million, and a loan of PLN 20 million from Trakcja PRKiI’s main shareholder – the Spanish group COMSA. At the end of September, activities related to long-term financing covering more than 400 million new financial instruments were completed, including:

• new revolving credit facilities in the maximum amount of PLN 104.6 million,
• a revolving loan in the maximum amount of PLN 27.6 million,
• additional guarantee lines for advance payment refund guarantees on contracts in the amount of PLN 200 million,
• an increase in the Company’s share capital in an amount not less than PLN 39.6 million.
