9/2013 – Purchase of Series A and B Bonds.

In reference to current report no. 2/2013 of 15 January 2013, the Management Board of Trakcja S.A. (“Company”) hereby informs that on 31 January 2013 the Company purchased for redeeming: (i) 142,778 unsecured bearer bonds of series A of the nominal value of PLN 1,000 each and the total nominal value of PLN 142,778,000, marked with ISIN code: PLTRKPL00048 (“Series A Bonds”) and (ii) 13,000 unsecured bearer bonds of series B of the nominal value of PLN 1,000 each and the total nominal value of PLN 13,000,000, marked with ISIN code: PLTRKPL00055 (“Series B Bonds”) issued by the Company on 19 April 2011 pursuant to: (i) the Act of 29 June 1995 on bonds (“Act on Bonds”), (ii) the Company’s statute and (iii) the resolution of the Management Board of the Company of 1 February 2011. The Series A Bonds and the Series B Bonds shall hereinafter jointly referred to as the “Bonds”.

The Bonds were purchased pursuant to: (i) Art. 25 of the Act on Bonds, (ii) the resolution of the Management Board of the Company of 12 January 2013, and (iii) the resolution of the Supervisory Board of the Company of 14 January 2013.

The purpose of the purchase of the Bonds was to change the financing structure, postpone the maturity date and decrease the debt on account of the issuance of ordinary bonds of series A and B which were to be redeemed in 2013 and 2014. A more detailed description of the transaction is included in report no. 8/2013.

The Bonds were purchased at their nominal price along with interest due as of the purchase day. The average unit purchase price of the Bonds was PLN 1,005.95 per Bond (with accrued interest).

Legal basis: Article 56, paragraph 1, point 2 of the Act on public offering and the conditions for introducing financial instruments to organised trading system and on public companies, and §5, paragraph 1 point 6 of the Regulation of the Minister of Finance dated 19 February 2009 on the current and periodic disclosures to be made by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state.
