58/2013 – Information on the Appointment of Mr. Maciej Radziwiłł as a Member of the Supervisory Board
The Management Board of Trakcja S.A. (“Company”) hereby informs that during the session of the Ordinary General Meeting of the Shareholders of the Company, which was held on 12 June 2013, COMSA S.A. with its registered office in Barcelona, a shareholder of the Company, acting pursuant to Art. 13 par. 4 of the Company Statutes, appointed Mr Maciej Radziwiłł as Member of the Supervisory Board.
Required information on the appointed person:
Mr Maciej Radziwiłł has a university degree. He graduated from the Faculty of Philosophy and Sociology, University of Warsaw (1986) and the Faculty of Management and Marketing, University of Warsaw (1994). He also holds the title of Master of Business Administration granted by the University of Illinois at Urbana-Champaign (1994).

In addition, from 4 July 2012 Mr Maciej Radziwiłł has been holding the position of a member of the Supervisory Board of Trakcja S.A. (and from 19 September 2012 – the position of the Chairman of the Supervisory Board) and from 19 September 2012 has been a member of the Audit Committee of Trakcja S.A.
In addition, Mr Maciej Radziwiłł holds the position of the chairman of the supervisory board in a company from the Capital Group of the Issuer, Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A., and the function of a member of the supervisory board of Quercus TFI S.A.
According to the submitted declaration, Mr Maciej Radziwiłł:
– does not engage in competitive activities to the Company;
– does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;
– is not a partner in another competing commercial law partnership;
– is not a member of a body of another competing capital company;
– does not participate in another competitor body corporate as a member of its body;
– is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.
