44/2024 – Appointment of a Management Board Member

The Management Board of Trakcja S.A. (the “Company”) announces that today it received a written statement from its shareholder, Agencja Rozwoju Przemysłu S.A. (“ARP”). According to the statement, ARP, exercising its personal rights under § 10 section 2 point 2) letter b and point 4) of the Company’s Statute, has appointed Mr. Roman Przybył to the Management Board of the Company, effective from August 5, 2024, at the beginning of the day.

According to the submitted statement, Mr. Roman Przybył:

• Does not engage in any activity outside of the Company that would be competitive to the Company,
• Is not a partner in any competitive civil, partnership, or capital company,
• Does not participate in any competitive legal entity as a member of its governing body,
• Is not listed in the Register of Insolvent Debtors maintained under the Act on the National Court Register,
• Is not listed in the National Register of Debtors maintained under the Act on the National Register of Debtors.

Attached to this current report, the Company provides information regarding Mr. Roman Przybył’s education, qualifications, and previous positions, along with a description of his professional career.
