44/2022 – Information concerning the nomination of a candidate for member of the Company’s Supervisory Board by OFE PZU „Złota Jesień” a Company Shareholder

The Management Board of Trakcja S.A. (the “Company”) hereby informs that its shareholder,  Otwarty Fundusz Emerytalny PZU „Złota Jesień” represented by Powszechne Towarzystwo Emerytalne PZU spółka akcyjna, with its seat in Warsaw (hereinafter “PZU”), has nominated Ms. Magdalena Komaracka as a candidate in the election of a member of the Supervisory Board at the Company’s Ordinary Meeting to be held on 30 June 2022.
In accordance with Ms. Magdalena Komaracka’s representations received from PZU, Ms. Komaracka:
–    has provided her consent to being appointed to the Company’s Supervisory Board,
–    satisfies the criteria of independence as provided under Article 129 (3) of the Act on chartered accountants, audit companies and public supervision (hereinafter the “Act”),
–    satisfies the requirements for members of the Audit Committee set out in Article 129 (1) of the Act, that is, she has the expertise and skills in accounting or auditing of financial statements.
