44/2012 – Information on the appointment of Mr Rodrigo Pomar López for the position of a Member of the Supervisory Board

The Management Board of Trakcja-Tiltra S.A. (the “Company”) hereby informs that today, i.e. on 4 July 2012, COMSA S.A. with its registered office in Barcelona, a shareholder of the Company, on the basis of Article 13, paragraph 4 of the Company Statutes, appointed Mr Rodrigo Pomar López for the position of a Member of the Supervisory Board.

Required information on the appointed person:

Mr Rodrigo Pomar López has a Master’s degree in economics.

Previously held positions and professional career:

1996 – 1997 – Assistant to General Director – Banco Santander

1999 – 2000 – Analyst for McKinsey

2000 – 2006 – Senior Manager in charge of Strategic Services – Accenture

Since 2006 – until present – Managing Director in charge of Corporate Strategy – COMSA GROUP (at present COMSA EMTE GROUP)

Until 29 June 2012, Mr Rodrigo Pomar López was holding the position of a Member of the Supervisory Board of the Company.

According to the submitted declaration, Mr Rodrigo Pomar López:

• does not engage in competitive activities to the Company;
• does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;
• is not a partner in another competing commercial law partnership;
• is not a shareholder of another competing capital company;
• does not participate in another competing legal person as a member of its governing body;
• is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.
