38/2012 – Information on the appointment of Mr Alvydas Banys for the position of a Member of the Supervisory Board

The Management Board of Trakcja-Tiltra S.A. (the “Company”) hereby informs that today, i.e. on 29 June 2012, the Extraordinary General Meeting of the Shareholders of the Company appointed Mr Alvydas Banys for the position of a Member of the Supervisory Board of the Company.

Professional experience and positions held

Since 2007Mr Alvydas Banys has been holding managerial positions in two Lithuanian companies in the area of financial investments and real property:

Chief Executive Officer UAB LJB investments 

Chief Executive Officer UAB LJB property 

In the period between 1995 and 2007Mr Alvydas Banys held managerial positions in the following Lithuanian companies listed in the Vilnius stock exchange: AB Vilniaus baldai – leader in the area of production of self-assembly furniture; and AB Invalda – one of the major Lithuanian investment companies. Positions held:

In the years 1995–2004      AB Vilniaus baldai, Member of the Management Board

In the years 2004–2007      AB Vilniaus baldai, President of the Management Board

In the years 1996–2006      AB Invalda, Vice-President

In the years 2002–2007      AB Invalda, President of the Management Board

In the period between January 2006 and April 2007Mr Alvydas Banys held the position of a Member of the Management Board in a Lithuanian company, AB Kauno tiltai, belonging to the Trakcja – Tiltra group.

According to the submitted declaration, Mr Alvydas Banys:

• does not engage in competitive activities to the Company;
• does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;
• is not a partner in another competing commercial law partnership;
• is not a shareholder of another competing capital company;
• does not participate in another competing legal person as a member of its governing body;
• is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.
