12/2013 – Redemption of Series A and B Bonds

In relation to current report no. 9/2013 of 1 February 2013, the Management Board of Trakcja S.A. (“Company”) hereby informs that on 11 February 2013 it was notified that on 8 February 2013 the management board of Krajowy Depozyt Papierów Wartościowych S.A. (“KDPW”) adopted a resolution related to the Company’s redemption, according to the procedure set out in Art. 25 par. 1 of the Act of 29 June 1995 on bonds, of the following:

– 142,778 bearer bonds of series A of the nominal value of PLN 1,000 each and the total maximum nominal value of PLN 142,778,000, dematerialised in KDPW and marked with ISIN code: PLTRKPL00048, and

– 13,000 bearer bonds of series B of the nominal value of PLN 1,000 each and the total maximum nominal value of PLN 13,000,000, dematerialised in KDPW and marked with ISIN code: PLTRKPL00055.

In its resolution, KDPW also stated that as of the day of passing the resolution:

– code ISIN: PLTRKPL00048 shall still apply to 5,586 series A bonds of the Company, and 

– all of the series B bonds of the Company marked with ISIN code: PLTRKPL00055 were redeemed.

Legal basis: Art. 56, par. 1, point 2 of the Act on public offering and the conditions for introducing financial instruments to organised trading system and on public companies, and §5, par. 1 point 6 of the Ordinance of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state.
