69/2013 – Announcement on a change in the participation in the total number of votes

The Management Board of Trakcja S.A. (“Company”) informs that pursuant to Art. 69 par. 1 point 2 in conjunction with Article  87 par. 1 point 3 letter b of the Act of 29 July 2005 on public offering and the conditions for introducing financial instruments to organised trading system and on public companies (“Act on Public Offering”), on 9 August 2013 the Company received from Pioneer Pekao Investment Management S.A. (“PPIM”) a notification concerning a decrease in the total participation to the level of 8.52% of the total number of votes at a General Meeting of the Company with regard to financial instruments included in the financial instruments portfolios managed by PPIM as part of its services, as a result of the sale of shares which took place on 2 August 2013.

Before the change, the 44,799,404 shares in the Company included in the portfolios managed by PPIM as part of their financial instruments portfolios management services constituted 10.89% of the share capital of the Company. These shares entitled to 44,799,404 votes at a General Meeting of the Company, which constituted 10.89 % of the total number of votes.

As a result of the sale, the 35,022,626 shares in the Company included in the portfolios managed by PPIM as part of their financial instruments portfolios management services now constitute 8.52% of the share capital of the Company. These shares entitle to 35,022,626 votes at a General Meeting of the Company, which constitutes 8.52 % of the total number of votes.

The Company also informs that PPIM, in the performance of the agreement on the management of the investment portfolio of funds concluded between Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A. and PPIM, and acting pursuant to Art. 69 par. 1 point 2 in conjunction with Article  87 par. 1 point 2 letter a of the Act on Public Offering, notified the Company that the shareholders holding the votes referred to above are the funds created by Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A.:

– Pioneer Fundusz Inwestycyjny Otwarty, and

– Pioneer Obligacji – Dynamiczna Alokacja Fundusz Inwestycyjny Otwarty.
