38/2013 – Information regarding court registration of a change in the amount of the Issuer?s share capital

The Management Board of Trakcja S.A. (“the Issuer”) informs that on 23.04.2013 it received a decision of the District Court for the capital city of Warsaw, in Warsaw, XII Commercial Division of the National Court Register (“the Court”) of 12.04.2013, regarding the registration of a change in the amount of the Issuer’s share capital to the amount of PLN 35.119,638.40 (“Registration 1”) and a decision of the Court of 15.04.2013, regarding the registration of a change in the amount of share capital to the amount of PLN 41.119,638.40 (“Registration 2”).

General number of votes at the Issuer’s General Meeting resulting from all issued shares after Registration 1 amounted to: 351.196,384 votes.

General number of votes at the Issuer’s General Meeting resulting from all issued shares after Registration 2 amounts to: 411.196,384 votes.

As a result of Registration 1 and Registration 2, the Court registered an issue of a total number of 179.090,904 Issuer’s ordinary shares, H series.

After Court’s Registration 1 and 2, the Issuer’s share capital in total comprises of 411.196,384 ordinary shares of the following series:

A series: 1.599,480 shares;

C series: 83.180,870 shares;

D series: 19.516,280 shares;

E series:  25.808,850 shares;

F series:  30.000,000 shares;

G series: 72.000,000 shares;

H series: 179.090,904 shares;

Legal grounds: paragraph 5, section 1, point 9 of the Resolution of the Minister of Finance of 19 February 2009 regarding current and periodical information forwarded by the issuers of securities and terms of considering the information required by legal provisions of a country not being a Member State as equivalent.
