33/2013 – Information on concluding a material contract

The Management Board of Trakcja S.A. (hereinafter: “Company”) hereby informs that today, i.e. on 26 March 2013 it was notified thaton 25 March 2013 a subsidiary of the Company, AB Kauno tiltai (joint-stock company) with its registered office in Kaunas, Lithuania (hereinafter: “AB Kauno Tiltai”) concluded a material contract (hereinafter: “Contract”) with the city of Vilnius, Lithuania (hereinafter: “Ordering Party”).

Value of the Contract:

The total net value of the Contract as expressed in PLN is: 52,753,889.07.

The total gross value of the Contract as expressed in PLN is: 63.832.205,78.

Object of the Contract:

On the basis of the Contract, AB Kauno tiltai will perform construction works in the IXB transport corridor ( Žirni? street in Vilnius, Lithuania) and works related to the construction of a connection for the international airport of Vilnius.

Term of the Contract:

The works referred to above are to be performed until 1 July 2013.

Liquidated damages:

Compensation for delay in the performance of the works: 0.02% of the net value of the Contract for each day of delay.

The maximum compensation for delay in the performance of the works is 20% of the net value of the Contract.

Other terms and conditions of the Contract are similar to those commonly used for these type of agreements.

An agreement is considered to be material if its total value exceeds 10% of the Company’s equity.

Legal basis: § 5 paragraph 1 point 3of the Ordinance of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state.
