104/2013 – Information on merger with another entity

With reference to current report no. 81/2013 of October 26, 2013, the Management Board of Trakcja S.A. with its registered office in Warsaw (address: ul. Złota 59, 18th floor, 00-120 Warsaw), entered into the register of entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under the number 0000084266, with a share capital of PLN 41,119,638.40 fully paid up (the “Company” or “Acquiring Company”) informs that on December 19, 2013, the District Court for the Capital City of Warsaw Warsaw in Warsaw, 12th Commercial Division of the National Court Register, as competent for the Acquiring Company, registered the merger of the Company with Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A. with its registered office in Wrocław, entered into the register of entrepreneurs of the National Court Register kept by the District Court for Wrocław-Fabryczna in Wrocław, 6th Commercial Division of the National Court Register, under number 0000110835 (“PRKiI” or the “Acquired Company”) (merger date).

The merger of the Company and the Acquired Company took place by transferring all the assets of the Acquired Company to the Company, i.e. through merger by acquisition, pursuant to Art. 492 § 1 point 1 of the Commercial Companies Code (“KSH”).

The activities of the Acquiring Company include, among others, modernization of railway and tram lines, construction and modernization of traction networks and their power supply systems, construction of power systems and remote control systems for electric traction power devices.

The scope of activity of the Acquired Company included, among others, comprehensive construction of railway and tram lines, railway and tram electrotraction networks, power lines, viaducts, bridges and engineering structures.
