91/2022 - Changes in the composition of the Supervisory Board

The Management Board of Trakcja S.A. (the "Company") informs that today the Company received from the Deputy Chairperson of the Supervisory Board, Ms Klaudia Budzisz, a statement on her resignation from the Supervisory Board with effect from the end of 22 December 2022.

No reasons were given for the resignation.

At the same time, the Management Board of the Company informs that today Agencja Rozwoju Przemysłu S.A., a shareholder of the Company, acting pursuant to Article 13(3)(1)(a) and (4) of the Company's Articles of Association, submitted a written declaration on the appointment, as of 23 December 2022, of Mr Robert Kaleta to the Supervisory Board, at the same time entrusting him with the function of the Deputy Chairperson of the Supervisory Board in place of Ms Klaudia Budzisz.

According to the statement made, Mr Robert Kaleta:
    is not involved in any activities outside the Company's business which would be competitive in relation to the Company,
    is not a partner in a competitive civil law partnership or any other partnership,
    is not a partner or shareholder in any competing capital company,
    does not participate in a competitive legal person as a member of its body,
    is not listed in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.
    is not listed in the National Debtors Register maintained pursuant to the Act on the National Debtors Register.

The Company provides in appendix to this current report information on the educational background, qualifications and positions previously held, together with a description of the career history of the newly appointed member of the Supervisory Board.
