54/2013 – Information on appointment of Mr Wojciech Napiórkowski as Member of the Supervisory Board

The Management Board of Trakcja S.A. (“Company”) hereby informs that on 12 June 2013 the Ordinary General Meeting of the Shareholders of the Company appointed Mr Wojciech Napiórkowski as Member of the Supervisory Board of the Company for a new joint 3-year term of office.

Required information on the appointed person:

Mr Wojciech Napiórkowski has a university degree. He is a graduate of the Faculty of Law and Administration of the University of Warsaw. He also holds the title of Master of Business Administration granted by the Warsaw University of Technology and the London Business School.

Previously held positions and professional career:

From December 2012  Investors TFI- Vice-President of the Management Board – Abris Capital portfolio investment

·         consulting and transaction generation

From 2007-2011 – Bridgepoint Capital – Director

·         investments in companies, organising various forms of financing, supervision over operating activities of portfolio companies

2003–2007 – Advent International – Investment Director

1999–2003 – Investment Manager in Emerging Ventures Limited

1997-1999 – Domański Zakrzewski Palinka – Arthur Andersen law firm

Major projects accomplished by Mr Wojciech Napiórkowski were related to: mergers and acquisitions, issuing convertible bonds, public and private offers, purchase of companies by industry investors and issuing managerial options.

Moreover, Mr Wojciech Napiórkowski is holding the positions of a member of the supervisory board of Kopex S.A. and Rolimpex-Nasiona S.A.

Since 29 June 2012, Mr Wojciech Napiórkowski has been holding the position of a member of the Supervisory Board of Trakcja S.A., and since 19 September 2012 – the function of the Chairman of the Audit Committee of Trakcja S.A.

According to the submitted declaration, Mr Wojciech Napiórkowski:

–         does not engage in competitive activities to the Company;

–         does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;

–         is not a partner in another competing commercial law partnership;

–         is not a member of a body of another competing capital company;

–         does not participate in another competitor body corporate as a member of its body;

–         is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.
