13/2021 – Receipt of notice from the Company’s stockholder – Agencja Rozwoju Przemysłu S.A. [Industrial Development Agency JSC]

The Management Board of Trakcja S.A. (the “Company”) should like to advise that on 24 May 2021, the Company has received from its stockholder, Agencja Rozwoju Przemysłu S.A. [Industrial Development Agency JSC] with its seat in Warsaw (“ARP”) notice on the concluding of a non-binding understanding between the Company’s stockholders, that is, ARP and COMSA S.A.U. with its seat in Barcelona (“COMSA”) ARP, concerning primarily the acquisition by ARP or an entity under the direct or indirect control of the State Treasury of the Republic of Poland or another entity designated by ARP, previously approved by COMSA (“Designated Buyer”) of all stock issued by the Company, held by COMSA at a particular moment.

The Parties have also agreed in the understanding that ARP or the Designated Buyer shall acquire from COMSA all bonds issued by the Company, held by COMSA at a particular moment.

The foregoing transactions shall be effected provided that the conditions precedent set out in the understanding are satisfied, as provided in the contents of the notice.
