11/2024 – Information on the Conclusion of a Significant Contract by the Consortium Involving Trakcja S.A.

The Management Board of Trakcja S.A. (the “Company”, “Issuer”) announces that today a contract was concluded, involving a consortium of companies, namely: Trakcja S.A. [as the Consortium Leader], Pomorskie Przedsiębiorstwo Mechaniczno-Torowe sp. z o.o. based in Gdańsk [as Consortium Partner], and Alstom Polska S.A. (formerly: Alstom ZWUS sp. z o.o.) based in Warsaw [as Consortium Partner] – collectively referred to as the “Contractor” – with PKP Polskie Linie Kolejowe S.A. (“Ordering Party”) for the execution of work under the project for the construction of railway control devices, telecommunication network devices, and the provision of post-warranty services for these devices on the section Zabrzeg – Zebrzydowice – state border under the project “Works on the main passenger routes (E 30 and E 65) in the Silesian area, Stage I: E 65 line on the section Zabrzeg – Zebrzydowice state border” (the “Contract”).

The subject of the Contract is divided into the basic scope – Part A and Part B, and two optional parts: Option Right 1 (the Ordering Party’s unilateral right to optionally (additional) purchase post-warranty services specified in Chapter 6 of the PFU [TOM III A and TOM III B]) and Option Right 2 (the Ordering Party’s unilateral right to optionally (additional) purchase services described in Chapter 7 of the PFU (TOM IIIA) “Expected changes in interface scope”). The conclusion of this Contract follows the selection of the Contractor’s offer as the most advantageous offer submitted in an unrestricted tender.

The total maximum value of the Contract may amount to PLN 1,670,062,626.67 net, comprising:

1. Basic Scope:
   • Part A:
     1. Value of Works – PLN 1,180,119,124.32 net
     2. Conditional Amount – PLN 265,040,000.00 net
     3. Replacement Communication Costs – PLN 5,275,000.00 net
   • Part B: 4) Value of Works – PLN 154,058,733.04 net 5) Conditional Amount – PLN 49,900,000.00 net 6) Replacement Communication Costs – PLN 5,275,000.00 net
2. Option Right 1 – PLN 7,404,341.76 net
3. Option Right 2 – PLN 2,990,427.55 net

According to the consortium agreement between the Consortium Leader and the Consortium Partners, the estimated participation of Trakcja S.A. in the performance of the Contract in the entire basic scope is 45%, with the final share to be determined in the executive agreement to be concluded between the Consortium members after the conclusion of the Contract.

The work under the Contract is to be completed within the following deadlines:

• Part A and Part B – within 191 weeks from the day following the conclusion of the Contract,
• Option Right 1 – for a period of 108 months, starting directly after the expiration of the 72-month Defect Notification Period,
• Option Right 2 – The Ordering Party may exercise Option Right 2 throughout the entire duration of the Works for Part B, during the entire Defect Notification Period for Part B, and throughout the duration of Option Right 1.

Other terms of the Contract are consistent with commonly applied terms for such contracts, including price adjustment conditions.

The Issuer’s Management Board decided to publish this information as the execution of the above project constitutes a significant portion of the orders carried out by the Company and impacts the maintenance of current and increase of future revenues and results of the Company.
